Terms of Service

These Terms of Service ("Terms") govern access to and use of Autogapp, a cloud-based garage management software service operated by Sempro Company Inc.. By creating an account, starting a demo, subscribing, accessing, or using Autogapp, you agree to these Terms.

1. Business Use and Eligibility

Autogapp is provided for business users only. You must be at least 18 years old and authorized to act for the business you register. You are responsible for ensuring that account users, staff members, and contractors comply with these Terms.

2. Autogapp Service

Autogapp helps automotive repair shops manage work orders, scheduling, job cards, technicians, estimates, invoices, payments, inventory, SMS communication, vehicle records, and related shop operations. Features may vary by plan, country, integration availability, and account settings.

3. Subscriptions, Demo Access, and Billing

Autogapp may provide a limited demo period after registration. Paid plans renew automatically unless cancelled before renewal. Payment is processed through Stripe or another approved provider. Non-payment may result in restricted or suspended access.

4. User Responsibility for Data

You are solely responsible for all customer, vehicle, invoice, estimate, job card, inventory, SMS, employee, and business data entered into Autogapp. You are responsible for obtaining required consents and complying with privacy, SMS, tax, accounting, employment, consumer protection, and other laws that apply to your business.

5. Customer Communications

If you send SMS, email, job card links, invoices, estimates, or other communications through Autogapp, you are responsible for the content, recipient consent, accuracy, timing, and compliance with applicable laws. Autogapp may restrict or suspend messaging features if abuse, spam, or legal risk is detected.

6. Third-Party Services

Autogapp may integrate with providers such as Stripe, Twilio, DeepSeek AI, vehicle data services, and other technical providers. We are not responsible for third-party outages, pricing changes, errors, policies, account decisions, or service limitations.

7. Prohibited Use

You may not use Autogapp for illegal activity, spam or SMS abuse, unauthorized access attempts, harmful uploads, scraping, reverse engineering, competitor abuse, copyright violation, or any activity that harms Autogapp, other users, third parties, or platform infrastructure.

8. Security and Account Access

You are responsible for protecting your login credentials and limiting access to authorized staff. You must notify us promptly if you suspect unauthorized access, misuse, or a security issue involving your account.

9. Service Availability

The service is provided "as is" and "as available." We do not guarantee uninterrupted operation, error-free service, specific business results, continuous third-party integrations, or suitability for a particular business purpose.

10. Suspension and Termination

We may suspend or terminate access for non-payment, suspected abuse, security risk, legal risk, violation of these Terms, or use that may harm Autogapp or third parties. We may investigate misuse and take appropriate action, including cancellation of service.

11. Limitation of Liability

To the maximum extent permitted by law, Autogapp and Sempro Company Inc. are not liable for indirect, incidental, special, consequential, punitive, business interruption, lost-profit, lost-revenue, lost-data, or lost-goodwill damages. Our total aggregate liability arising from the service shall not exceed the Canadian dollar equivalent of USD $100.

12. Governing Law

These Terms are governed by the laws of Canada and the Province of Alberta. Disputes are subject to the appropriate courts located in Alberta, Canada, unless applicable law requires otherwise.
